Terms of Service

These Terms of Service form an agreement between Dendryte LLC, operating under the Dendryte Solutions brand (‘Dendryte,’ ‘we,’ ‘us’ or ‘our’), and the person or business accessing the website or purchasing a service (‘customer,’ ‘you’ or ‘your’).

1. AGREEMENT TO TERMS

These Terms govern use of the website and purchased Dendryte services. Purchasing or using paid services requires affirmative acceptance of the applicable Terms and subscription disclosures.

2. BUSINESS SERVICE AND ELIGIBILITY

The standard service is intended for legitimate business use by customers able to enter a binding agreement and at least 18 years old.

3. SERVICE DESCRIPTION

Dendryte configures, deploys, hosts and manages AI-powered website assistants using approved customer information and appropriate third-party technology. Potential functions may include supported answers, navigation guidance, inquiry capture and human-handoff preparation. Exact services are limited to the selected plan and any written order or scope.

4. NO PROFESSIONAL ADVICE

Dendryte services and assistant responses are not legal, medical, financial, tax, emergency or other regulated professional advice.

5. AI LIMITATIONS

  • AI output may be incomplete, inaccurate or outdated.
  • The assistant does not possess human judgment.
  • Customers must review important outputs and source information.
  • Dendryte does not guarantee uninterrupted or error-free responses.
  • High-risk matters should be handled by qualified people.

6. CUSTOMER CONTENT AND INSTRUCTIONS

Customers represent that they have appropriate rights to provide their websites, documents, trademarks, instructions and other materials. Customers remain responsible for:

  • Accuracy
  • Legality
  • Required notices
  • Intellectual-property permissions
  • Updating changed information
  • Their products and services
  • Their actions after receiving inquiries

Customers grant Dendryte a limited permission to use supplied material only as reasonably necessary to configure, operate, maintain and support the purchased service. We do not claim ownership of customer content.

7. ACCEPTABLE USE

Customers are prohibited from using the service for:

  • Illegal activity
  • Fraud or deception
  • Impersonating people
  • Harassment
  • Malware
  • Credential theft
  • Unauthorized surveillance
  • Collection of unnecessary highly sensitive information
  • Emergency-service substitution
  • Unlicensed professional advice
  • Intellectual-property infringement
  • Circumventing security
  • Sending unlawful spam
  • Discriminatory or harmful decision-making
  • Creating misleading claims that an assistant is human

Dendryte may suspend materially harmful or unlawful use.

8. WEBSITE COMPATIBILITY AND THIRD-PARTY SERVICES

Some features depend on:

  • Customer website technology
  • Third-party AI systems
  • Hosting providers
  • Email providers
  • Payment providers
  • Integration services
  • Customer access and approvals

Dendryte does not control every third-party service and does not guarantee their continuous availability.

9. SETUP AND CUSTOMER COOPERATION

Initial setup is typically completed within 5–7 business days after Dendryte receives all required content, instructions, access information and approvals. This is an estimate, not a guaranteed completion date. Customer delays, incompatibility, custom work and third-party interruptions may extend delivery.

10. PLANS AND USAGE

Essential:

  • $99.99 USD per month
  • One website
  • Up to 500 assistant conversations per monthly billing period
  • Other inclusions as displayed on our Pricing page

Professional:

  • $199.00 USD per month
  • One website
  • Up to 2,000 assistant conversations per monthly billing period
  • Other inclusions as displayed on our Pricing page

No undisclosed overage fee will be imposed. If a limit is reached, the assistant may be limited, paused or replaced with a contact option until renewal or an approved plan change.

11. MONTHLY SUBSCRIPTION AND AUTOMATIC RENEWAL

Essential and Professional are continuous monthly subscriptions. The selected monthly price, plus applicable taxes, will be charged at enrollment and approximately every month thereafter until cancelled.

Your subscription continues until you cancel it. There is no minimum long-term commitment unless a separate written agreement says otherwise.

Dendryte will not increase the recurring price without advance notice. If affirmative consent is required for a price change, Dendryte will obtain it before charging the changed amount.

12. PAYMENT AUTHORIZATION

The customer authorizes the selected hosted payment provider to charge the selected payment method for disclosed subscription charges. Dendryte’s website will not directly collect complete payment credentials.

13. CANCELLATION

Customers may cancel a standard monthly subscription through the online cancellation form at https://dendrytesolutions.com/cancel, by emailing info@dendrytesolutions.com with the subject ‘Cancellation Request,’ or by calling 833-221-1634.

A valid cancellation request is effective when Dendryte receives it through an approved cancellation method, subject to reasonable verification of the subscription. Cancellation does not depend on how quickly Dendryte sends its written confirmation.

Cancellation prevents eligible future renewal charges. Unless immediate termination is requested or required because of nonpayment, prohibited use, security risk or material breach, service may remain available through the end of the billing period already paid.

Cancellation does not automatically create a refund for the current or a completed billing period. Refund eligibility is governed by the Refund Policy.

Dendryte does not charge a cancellation fee for the listed monthly Essential or Professional plans.

14. REFUNDS

Cancellation and refunds are separate. Cancellation stops eligible future renewals; it does not automatically create a refund for an active or completed billing period. Please review our Refund Policy.

15. TAXES

Applicable taxes may be added where required.

16. INTELLECTUAL PROPERTY

Dendryte retains ownership of its website, branding, original templates, configurations and service materials, excluding customer content and third-party technology.

17. CONFIDENTIAL INFORMATION

Each party should use reasonable care with nonpublic business information and only use it for service delivery, support and authorized business purposes. This does not replace a separately signed NDA.

18. SERVICE CHANGES

We may make reasonable changes needed for security, legal compliance, provider compatibility or service improvement. Material changes affecting price or essential subscription terms require appropriate advance notice.

19. SUSPENSION AND TERMINATION

We may suspend service for:

  • Nonpayment
  • Fraud
  • Material breach
  • Security threats
  • Illegal or prohibited use
  • Harm to systems or other users

Where practical, we will provide notice and an opportunity to correct nonurgent issues.

20. DISCLAIMERS

To the maximum extent permitted by applicable law, Dendryte provides the services "as is" and "as available," without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.

21. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Dendryte shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use or goodwill, arising out of or related to your use of the services.

22. GOVERNING LAW

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law provides otherwise.

23. ELECTRONIC COMMUNICATIONS AND NOTICES

When you contact Dendryte electronically or enroll in an online service, you consent to receive service-related communications electronically at the contact information you provide. These communications may include enrollment acknowledgments, setup requests, operational notices, billing notices, policy updates, cancellation confirmations and support responses.

You are responsible for maintaining accurate contact information. Marketing communications, if offered, will require any consent and opt-out mechanism required by applicable law.

24. ASSIGNMENT

You may not transfer a subscription or these Terms to another person or entity without Dendryte’s prior written consent. Dendryte may transfer these Terms as part of a merger, acquisition, reorganization, sale of assets or similar business transaction, subject to applicable law and continued protection of applicable customer rights.

25. SEVERABILITY

If a provision of these Terms is held unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

26. ENTIRE AGREEMENT

These Terms, the selected plan disclosures, the Privacy Policy, Refund Policy, Cancellation Policy and any written order or custom scope accepted by both parties constitute the agreement concerning the applicable service. If a separately signed written scope conflicts with these Terms, the separately signed scope controls only for the subject it expressly addresses.

27. WAIVER

A failure or delay in enforcing a provision of these Terms does not waive the right to enforce that provision or any other provision later.

28. CHANGES TO TERMS

Material changes will be identified by an updated date and additional notice may be provided when appropriate.
